Terms of Service

Welcome to Agentalent.ai, an AI agents marketplace operated by monday.com Ltd. (“monday.com”, “we”, “us”, or “our”). These Terms of Service (the “Terms”) govern your access to and use of the Agentalent.ai platform, website, and related services (collectively, the “Platform”).

The Platform may include features that enable users to list, offer, discover, evaluate, purchase, subscribe or otherwise engage Agents (as defined below) offered by third-party developers and Providers (as defined below), to Clients seeking to fulfil various tasks, roles, services, or purposes. The Platform may also enable Clients to publish Requests and Providers to respond with Proposals. Except where expressly stated otherwise in a specific listing or offering, any Agent offered by a third-party Provider is offered by that Provider, not by monday.com.

The Platform may also include tools that help Users evaluate Agents, Providers, Requests, Proposals, and related materials. These tools are intended only to support User decision-making and do not constitute endorsement, certification, or guarantees.

These Terms form a legally binding agreement between you, either individually or on behalf of your employer or another legal entity that you represent (“you” or “your”), and monday.com. By accessing or using the Platform, creating an account, listing an Agent, purchasing or deploying an Agent, or otherwise interacting with the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. In case you accept these Terms on behalf of your employer or another entity, you represent that you have the authority to bind that entity to these Terms, and you accept these Terms on its behalf.

These Terms incorporate by reference the monday.com Privacy Policy, Copyright Policy, and any additional policies, exhibits, or guidelines referenced herein, each as may be updated from time to time.

Definitions

For purposes of these Terms, the following capitalized terms have the meanings set forth below:

"Agent"means any artificial intelligence agent, automated system, model-powered workflow, integration, or software tool made available through the Platform that performs tasks or generates outputs based on instructions, prompts, or inputs.
"Agent Listing"means a page, description, or offering on the Platform, through which a Provider makes an Agent available to Users.
"Client"means any User that accesses, evaluates, licenses, or uses an Agent made available through or in connection with the Platform.
"Provider"means any individual or entity that develops, owns, operates, or provides an Agent made available through the Platform.
"Transaction"means any engagement, arrangement, or relationship between a Client and a Provider including any purchase, subscription, license, trial, customization, development, renewal, extension, Proposal, or other commercial or non-commercial engagement initiated through, facilitated by, or resulting from use of the Platform.
"User"means any individual or entity that accesses or uses the Platform, including Clients, Providers, and any other participants.
"User Content"means any information, prompts, instructions, data, text, files and materials submitted by Users to the Platform or to an Agent, including Agent listings, Requests, Proposals, profiles, descriptions, submissions, and related materials.
"Output"means any data, content, recommendations, actions, or results generated by an Agent in response to User inputs or User Content.
"Listing Requirements"means the technical, operational, safety, and disclosure requirements applicable to Agent Listings, as may be described in these Terms or in the applicable documentation, or policies made available by us.
"Platform Policies"means the policies, guidelines, standards, or requirements referenced in these Terms, including any Listing Requirements, trust and safety policies, payment policies, or other operational rules relating to use of the Platform.
"Evaluation Materials"means any summaries, analyses, classifications, ratings, scores, insights, or other outputs generated via Agentalent Platform based on User Content or other Platform data, including through automated or AI-based systems.
"Request"means any role posting, job posting, opportunity, project description, need submission, or other request submitted by a Client through or in connection with the Platform in relation to an Agent, workflow, capability, or related engagement.
"Proposal"means any response, submission, offer, recommendation, or related communication provided by a Provider in response to a Request.

The Agentalent.ai Platform

The Platform is a marketplace and related services that may enable Users to discover, evaluate, access and engage Providers in connection with Agents designed to perform tasks, generate outputs, or assist with workflows. Unless expressly stated otherwise in a specific listing or offering, Agents are offered by independent third-party Providers, not by monday.com.

monday.com does not develop, host, operate, execute, control, or maintain any third-party Agents and is not responsible for their performance, behavior, or outputs. All Agents are provided solely by Providers.

The Platform may include tools and functionality that allow Users to: browse and evaluate Agents, list and publish Agents, purchase or subscribe to Agents, configure or deploy Agents, interact with Agents through prompts, instructions, or workflows, and review or rate Agents.

monday.com may review, test, scan, or evaluate Agents for operational, security, safety, or quality purposes. However, such review does not constitute an endorsement, certification, or guarantee of the Agent’s reliability, safety, legality, or performance.

monday.com reserves the right, at its sole discretion, to: determine which Agents may be listed or made available on the Platform, remove or suspend Agents, modify the features or operation of the Platform, and establish or update Platform Policies governing use of the Platform.

User Accounts

In order to access certain features of the Platform, including listing Agents, deploying Agents, or entering into Transactions, you may be required to create an account or authenticate using an existing monday.com account or other supported authentication method (“Account”).

You agree to provide accurate, complete, and up-to-date information during registration and to keep such information current at all times.

You represent and warrant that you: (a) are at least eighteen (18) years of age (or the age of majority in your jurisdiction); (b) have the legal capacity to enter into binding agreements; and (c) are not prohibited from using the Platform under applicable law. monday.com may, at its sole discretion, require verification of your identity, business status, or other information.

You are responsible for maintaining the confidentiality of your Account credentials, restricting access to your Account, and all activities that occur under your Account. You agree to notify monday.com promptly of any unauthorized access to or use of your Account or any other security breach. monday.com will not be liable for any loss or damage arising from your failure to comply with these obligations.

We reserve the right, at our sole discretion, to suspend, restrict, or terminate Accounts that: violate these Terms, pose a security risk to the Platform or other Users, are suspected of fraudulent, abusive, or unlawful activity, or otherwise interfere with the proper operation of the Platform.

Acceptable Use and Platform Conduct

You agree to use the Platform and any Agent solely in accordance with these Terms, applicable laws, and the Platform Policies. Without limiting the foregoing, you shall not: (a) use the Platform or any Agent for unlawful, harmful, deceptive, or abusive purposes; (b) generate, distribute, or facilitate content or actions that are illegal, infringing, fraudulent, discriminatory, or otherwise harmful; (c) use any Agent in a manner that could reasonably result in harm to individuals, organizations, or the public; (d) deploy or use Agents in high-risk scenarios without appropriate safeguards, human oversight, and compliance with applicable laws; (e) misuse, manipulate, or attempt to circumvent any limitations, safeguards, or safety features of the Platform or any Agent.

Use of Automated Systems

monday.com may use automated systems, including artificial intelligence and machine learning, to analyze User Content, Agent performance, and Platform activity for purposes such as: (a) improving Platform functionality and user experience; (b) enhancing discovery, recommendations, and analytics; (c) detecting fraud, abuse, or violations; and (d) ensuring security and compliance. Any outputs generated by such systems are informational only and do not constitute guarantees, certifications, or professional advice.

Client Terms

The provisions of this Section apply to Users who request to, access, deploy, purchase, subscribe to, or otherwise use Agents through the Platform (“Clients”).

Evaluation of Agents

Clients are solely responsible for evaluating and selecting Agents prior to use, including determining whether an Agent is suitable for their intended purposes. Agent Listings, descriptions, documentation, and related materials are provided by the applicable Provider unless expressly indicated otherwise. monday.com does not verify and does not guarantee the accuracy, completeness, legality, or reliability of such materials. The inclusion or availability of an Agent on the Platform does not constitute a recommendation or endorsement by monday.com.

Use of Agents

Clients may use Agents solely in accordance with these Terms, the applicable Agent Listing, terms provided by the Provider, and applicable law. Clients must not use Agents for unlawful, harmful, deceptive, or abusive purposes. Clients are responsible for all instructions, prompts, data, and other inputs submitted to an Agent.

Transaction with Provider

Clients acknowledge that, except where expressly stated otherwise, Agents are provided by third-party Providers, acting independently from monday.com. Any transaction between a Client and a Provider is solely between those parties. monday.com is not responsible for: the performance, delivery, or functionality of any Agent; the accuracy or quality of Outputs; any commitments or warranties made by Providers; or any failure by a Provider to meet Client expectations.

Third-Party Agents and Services

CLIENT ACKNOWLEDGES AND AGREES THAT: AGENTS PROVIDED BY PROVIDERS ARE THIRD-PARTY SERVICES AND ARE NOT PART OF THE MONDAY.COM SERVICE; MONDAY.COM DOES NOT DEVELOP, OPERATE, CONTROL, OR SUPPORT THIRD-PARTY AGENTS; CLIENT’S USE OF ANY SUCH AGENT IS AT YOUR OWN RISK; AND ANY AGREEMENT BETWEEN CLIENT AND A PROVIDER GOVERNS YOUR USE OF THE APPLICABLE AGENT. MONDAY.COM DOES NOT ENDORSE, GUARANTEE, OR ASSUME ANY RESPONSIBILITY FOR ANY AGENT, PROVIDER, OR TRANSACTION.

Provider Terms and Agent Listing Terms

The provisions of this Section apply to Users who develop, publish, or make Agents available in connection with the Platform (“Providers”).

Listing of Agents

Providers may submit Agents for listing on the Platform subject to compliance with these Terms and any applicable Listing Requirements or Platform Policies. All information provided by Providers in connection with Agent Listings must be truthful, accurate, and not misleading.

Submission of Agents to the Platform

Providers will submit their Agent, and any updates thereto, for review by monday.com, together with all required information and materials (collectively, the “Agent Materials”). Provider shall ensure that their Agent Materials clearly and accurately disclose: the nature of the Agent’s functionality; any third-party models, APIs, or services used; any access to, or processing of, User data; and any known limitations, risks, or constraints.

Review of Agents

monday.com may, but is not obligated to, review, test, evaluate, or monitor any Agent, Agent Materials, or related functionality at any time. Such review does not impose any responsibility or liability on monday.com with respect to the Agent, its functionality, Outputs, or compliance with applicable laws.

No Endorsement

Provider acknowledges and agrees that any review, testing, approval, certification, or listing of an Agent by monday.com does not constitute an endorsement, sponsorship, or recommendation of the Agent, and does not create any obligation for monday.com to maintain, promote, or continue to make the Agent available on the Platform.

Provider Support and Disclosure Obligations

Providers are solely responsible for all aspects of their Agents, including development, functionality, security, compliance with applicable laws, maintenance, and user support. Providers must respond to support requests within two (2) business days or promptly for urgent issues.

Deprecation and Wind-Down Period

Upon termination, suspension, or removal of an Agent from the Platform for any reason, Providers shall continue to provide the applicable Agent and related support to existing Clients for the remainder of any active subscriptions or committed usage period (the “Wind-Down Period”).

License to monday.com

By submitting or listing an Agent on the Platform, the Provider grants to monday.com a worldwide, non-exclusive, royalty-free license to: (a) host, display, promote, and distribute the Agent through the Platform; (b) evaluate, test, and review the Agent for operational, security, or quality purposes; and (c) use associated trademarks, logos, and descriptive materials for purposes of listing and promoting the Agent on the Platform.

Client–Provider Baseline Terms

The provisions of this Section constitute the mandatory baseline Engagement terms governing all Transactions and interactions between a Client and a Provider (the “Baseline Terms”).

Independent Responsibility

Each Client and Provider is solely responsible for its own acts and omissions in connection with any Transaction. Providers are solely responsible for their Agents, including their functionality, Outputs, and compliance with applicable laws; and Clients are solely responsible for their use of Agents and any reliance on Outputs.

AI-Specific Acknowledgement

Clients acknowledge that Agents may generate Outputs that may be inaccurate, incomplete, or biased; generated without human review; or unsuitable for certain use cases. Clients are responsible for independently reviewing Outputs before relying on them.

Confidentiality

In connection with any Transaction, each Client and Provider may receive non-public, confidential, or proprietary information of the other party (“Confidential Information”). Each party agrees to: (a) use Confidential Information solely for purposes of the applicable Transaction; (b) not disclose such information to any third party except to employees, contractors, or advisors bound by confidentiality obligations; and (c) protect such information using reasonable measures.

No Circumvention

Users shall not take any action to circumvent, avoid, bypass, or obviate monday.com’s fees or the Platform, including by redirecting transactions, communications, or engagements outside the Platform. Both Client and Provider are independently obligated to notify us within 48 hours of entering into any Engagement, Transaction, or agreement for Agent services initiated through the Platform.

Exclusive Platform Relationship

If a Client and a Provider identify, meet, communicate, or otherwise establish a relationship through the Platform, then during that relationship and for twenty-four (24) months following the later of (i) their last Transaction or (ii) their last interaction through the Platform, neither party may, directly or indirectly, solicit, negotiate, contract for, provide, receive, or accept any services or consideration of any kind outside the Platform.

Payments, Fees, and Transactions

The Platform may facilitate Transactions between Clients and Providers. monday.com may charge service fees, commissions, subscription fees, success fees, revenue shares, or other platform fees in connection with Transactions conducted through or arising from the Platform.

All fees are exclusive of taxes, levies, or duties. You are solely responsible for any taxes arising from your use of the Platform or any Transaction. monday.com may issue refunds, credits, reversals, or payment adjustments at its sole discretion, including in cases of fraud, disputes, chargebacks, non-delivery, or misrepresentation.

Intellectual Property

The Platform, including all underlying technology, software, content, design, and materials provided by monday.com (excluding User Content and Provider-provided Agents), are owned by monday.com or its licensors and are protected by applicable intellectual property laws.

As between monday.com and Providers, Providers retain all rights, title, and interest in and to their Agents and Agent Materials. Unless otherwise agreed between a Client and Provider, monday.com does not claim ownership of Outputs.

If you provide any suggestions, ideas, or feedback (“Feedback”), you grant monday.com a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback without restriction or obligation.

User Content and Licenses

You retain all rights, title, and interest in and to your User Content. By submitting, uploading, or otherwise making available any User Content to or through the Platform, you grant monday.com and its affiliates a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt, modify, display, and distribute such User Content as necessary to operate, provide, maintain, and improve the Platform.

You shall not submit or make available any User Content that: (a) violates applicable law; (b) infringes any intellectual property or other rights; (c) is harmful, fraudulent, deceptive, defamatory, abusive, or otherwise unlawful; (d) contains malware or harmful code; or (e) violates these Terms or any Platform Policies.

Disclaimer of Warranties

THE PLATFORM, ALL AGENTS, AGENT LISTINGS, OUTPUTS, AND ANY RELATED SERVICES OR FEATURES ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE”, AND “WITH ALL FAULTS” BASIS, WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MONDAY.COM EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF: MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY, RELIABILITY, OR COMPLETENESS; AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT SHALL MONDAY.COM OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; (B) MONDAY.COM’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100); (C) THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS SHALL LIMIT LIABILITY WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.

Force Majeure

monday.com shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or infrastructure failures, or governmental actions.

Indemnification

You agree to defend, indemnify, and hold harmless monday.com, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees), arising out of or related to: (a) your access to or use of the Platform; (b) your violation of these Terms or any Platform Policies; (c) your User Content, data, prompts, or inputs; (d) your use of any Agent or reliance on any Outputs; or (e) your interactions, engagements or Transactions with any other User.

Term and Termination

These Terms shall enter into force upon your first access to or use of the Platform and shall remain in effect until terminated. You may terminate these Terms at any time by ceasing all use of the Platform. monday.com may, at its sole discretion, terminate these Terms or your access to the Platform: (i) for convenience, upon thirty (30) days’ prior notice; or (ii) immediately, without notice, if you breach these Terms or pose a risk to the Platform, other Users, or third parties.

Any provisions which by their nature should survive termination shall remain in full force and effect, including: Intellectual Property; Client–Provider Baseline Terms; Disclaimers; Limitation of Liability; and Indemnification.

Modification

monday.com may modify the terms of these Terms, at any time and in its sole discretion. Notice of any change by email, to your address as provided to monday.com, or the posting of a change notice on the monday.com website, shall be considered sufficient notice to you of a modification to these Terms. Your use of the Platform after receiving such notice will constitute your acceptance of the modifications.

Export and Sanctions Compliance

You agree to comply with all applicable export control and sanctions laws and regulations. You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions, and are not listed on any applicable sanctions or restricted parties list.

Governing Law and Jurisdiction

These Terms and any action related thereto will be governed and interpreted by and under the laws of the State of Israel without giving effect to any conflicts of laws principles that require the application of the law of a different jurisdiction. Courts of competent jurisdiction located in Tel Aviv-Jaffa, Israel, will have the sole and exclusive jurisdiction and venue over all controversies and claims arising out of, or relating to, these Terms.

Acceptable Use Policy

This Acceptable Use Policy (“AUP”) forms part of the Agentalent.ai Platform and Marketplace Terms and reflects the activities that are prohibited in connection with your use of the Platform, any Agent, and any related services. All capitalized terms not defined herein shall have the meaning set forth in the Terms.

General Restrictions

You represent and warrant that you shall not, and shall not cause or allow any third party to:

Access (or attempt to access), tamper with, reverse engineer, export, download, or search any portion of the Platform or its underlying or related infrastructures, systems, models, APIs, or technologies, by any means other than through the interfaces provided by monday.com;
Probe, scan, or test the vulnerability of the Platform or Systems, or breach or circumvent any security or authentication measures;
Disrupt, interfere with, misuse or attempt to compromise the Platform, Systems or any Agent, including through automated means (e.g., bots, scraping, or excessive requests);
Copy, modify, alter, or create derivative works of the Platform or Systems, or remove proprietary notices;
Use the Platform, any part thereof, or any Agent to transmit malware, viruses, or harmful code;
Use the Platform or any Agent for any illegal, unlawful, fraudulent, deceptive, or competitive intelligence purposes;
Attempt to gain unauthorized access to the Platform, Systems, or any data;
Impersonate any person or entity or misrepresent affiliation;
Violate the privacy of others, including by processing or sharing personal data without appropriate authorization;
Engage in harassment, abuse, threats, hate speech, or stalking;
Send unlawful, unsolicited, or non-compliant communications, including spam;
Generate content (including via Agents) that is illegal, harmful, hateful, discriminatory, violent, or abusive;
Generate or use content that infringes third-party rights.

AI and Agent-Specific Restrictions

In addition to the above, you represent and warrant that you shall not:

Use any Agent in a manner that could reasonably result in harm to individuals, organizations, or the public;
Deploy or use Agents in high-risk scenarios (including legal, medical, financial, employment, or safety-critical use cases) without appropriate safeguards, human oversight, and compliance with applicable laws;
Rely on Agent Outputs for decisions that may materially impact individuals or organizations without appropriate validation and review;
Use Agents to generate misleading, deceptive, or false Outputs intended to be relied upon as factual without disclosure;
Deploy Agents that perform autonomous or semi-autonomous actions without appropriate user awareness, controls, and safeguards;
Circumvent or attempt to bypass any safeguards, limitations, or safety mechanisms of the Platform or any Agent;
Use the Platform or Agents to train or improve models using data where such use is not permitted or disclosed.

Content Restrictions

You represent and warrant that you shall not upload, submit, prompt, input, transmit, or otherwise make available any content that:

Exploits or harms children in any way;
Infringes intellectual property or proprietary rights;
Violates privacy or publicity rights;
Is illegal, fraudulent, obscene, defamatory, threatening, harmful, or otherwise inappropriate;
Promotes violence, terrorism, or unlawful conduct;
Discriminates against or targets individuals or groups based on protected characteristics.

Monitoring and Enforcement

monday.com is under no obligation to monitor activity but may, at any time and with or without notice, monitor, review, screen, or analyze use of the Platform, Agents, and any content for compliance with this AUP and the Terms.

Without limiting any other rights or remedies, if monday.com determines or reasonably suspects a violation of this AUP, it may, without notice and without liability: (a) remove or restrict access to content; (b) suspend or terminate access to the Platform or any Agent; (c) limit functionality or access; (d) investigate and take legal action; (e) take any action necessary to protect the Platform, Users, or third parties.

Intellectual Property Policy

monday.com respects intellectual property rights and will respond to notices of alleged infringement in accordance with applicable law and its policies.

Updates

monday.com may update this AUP from time to time. Continued use of the Platform following such updates constitutes acceptance of the updated AUP.
